Shareholders’ Agreement

Description

Shareholders' Agreement (SHA) regulates the rights and obligations of shareholders in relation to their participation in a stock corporation and supplements the provisions of the articles of association. The aim of shareholders' agreements is to harmonize the interests of shareholders, avoid conflicts and create a stable framework for the management of the company. Among other things, shareholders' agreements contain provisions on voting rights, the distribution of profits, the protection of minority shareholders and the transfer of shares. The agreement also sets out mechanisms for settling disputes and helps to protect the company against unwanted takeovers.

Scope

We draft a shareholders' agreement tailored to your needs. As a first step, we will hold a detailed discussion with you and possibly also with your founding team to clarify the relevant facts, answer legal questions and determine the content of the shareholders' agreement. We will then prepare a draft agreement based on this information and send it to you for review. The Shareholders' Agreement will then be finalized in one or two further meetings, depending on your needs.
We are also happy to assist you in setting up a stock corporation and to clarify any legal issues that arise in the process. We also advise you on setting up employee participation programs, etc.

Once the mandate has been assigned and any necessary documents have been provided, we will carry out the mandate as described in the quotation. Under certain circumstances, the implementation may require further discussions and the exchange of several draft versions. The scope of the mandate can be found in the offer.
