Software Development Agreement

Description

Software development agreements regulate the framework for the development and delivery of software between a client and a developer or development company. These contracts define the rights and obligations of both parties and clarify the terms of the collaboration. Among other things, they contain regulations on the software to be developed, including functionalities, performance requirements and technical specifications, regulations on remuneration and intellectual property, as well as provisions on liability and warranty. The software development contract thus forms a solid basis for successful cooperation and the basis for the development of high-quality software solutions

In an initial face-to-face or virtual meeting, we clarify your requirements and objectives for the software development contract together. We will discuss the framework conditions of the collaboration, the specific needs of your project and all relevant legal and financial aspects. Based on the information obtained in the kick-off meeting, we will create a customized draft contract that covers all the necessary legal provisions. This draft is tailored specifically to your project and includes all important clauses, such as intellectual property, confidentiality, liability and other critical points. This is followed by a detailed discussion of the draft contract, during which you have the opportunity to ask questions and make requests for changes. Our aim is to ensure that the contract fully meets your expectations. If any adjustments are required after the first meeting, we will of course make them. If necessary, we will hold a further meeting to discuss the final changes and ensure that the contract meets your exact requirements. Once all discussions have been completed and the changes incorporated, you will receive the final software development contract, which will provide you with a solid basis for contract negotiations.

On the occasion of a personal meeting, we will review the facts, decide how to proceed and, as far as possible, answer your initial questions. The initial consultation lasts about 20 minutes and is free of charge and non-binding.

If you agree with the content of the quote and the applicable mandate conditions, you issue us with the mandate as specified in the quote. If the mandate is subject to the granting of a power of attorney, we will send you information on how to sign it.

Once the mandate has been assigned and any necessary documents have been provided, we will carry out the mandate as described in the quotation. Under certain circumstances, the implementation may require further discussions and the exchange of several draft versions. The scope of the mandate can be found in the offer.
